Appointing a distribution partner for mobile networks.
What we’ve built
The infrastructure for music in conversation
Licensed music inside voice messages and calls — with the rights and royalty layer built underneath, so every use pays back to the people who own the music.
The rights layer
Ownership verification, clearing, ingestion, usage tracking and royalty splits. Two years of legal and commercial work — the hardest part of what we do.
The catalogue
4,000 tracks we own and have already cleared, so we can launch without waiting on anyone. A global deal with Sony Music layers in on top, with Universal and Warner in progress.
The product
An app and a keyboard. The keyboard works inside the messaging apps people already use — no migration required.
The product
An app, and a keyboard that goes everywhere else

THE APP
THE KEYBOARD
A system-level keyboard
Installed once, it works in every app on the phone. Nobody moves to a new messaging app — we arrive inside the one they already use.
Voice messages now, calls next
We are starting with voice messages. Calls follow, on the same rights layer — nothing has to be rebuilt to get there.
A model you can set per market
Our own catalogue runs to 4,000 tracks. One track a day at no cost, or the whole catalogue behind the operator subscription — the unlock model is configurable, market by market.
Rights holders plug in
Being built next: rights holders upload their own catalogue and are paid whenever it is used. Moodswing verifies ownership, tracks usage and splits the revenue.
Demand
What we bring to the launch
Distribution gets Moodswing onto the network. These are the things that make people pick it up.
Every send is an invitation
The track plays in the notification before the message opens. Someone without Moodswing hears it first, then installs to reply.
A new artist every week
One featured artist a week with their own PR push. Artists sell Moodswing to their own audiences — more credible than any advertising we could buy.
TRACE
A $10M marketing partnership, activated at launch across four TRACE channels.

Ten markets, direct operator relationships, and a billing layer that reaches people without cards or bank accounts.

Years of integration and relationship work. It is the one part of this we could never build ourselves.
The fit
Each of us has what the other cannot build
Penrose
Has distribution. Not the rights layer.
Operator relationships across ten markets
Carrier billing and packaging
A catalogue built around games, sport and trivia
No clearing, royalty accounting or rights infrastructure of its own
Moodswing
Has the rights layer. Not distribution.
Cleared catalogue and royalty layer
A product category no operator currently sells
Built on the highest-frequency behaviour on your network
A shipping product: app plus in-keyboard distribution
No carrier integration, no billing relationship
Music rights take years to assemble. So does carrier access. Neither of us should spend those years twice.
The structure
Penrose, appointed to represent the property
Moodswing remains the technology, product and rights owner. Penrose represents the property to operators and handles commercialisation, carrier billing and packaging.

Commercial models
Eight ways an operator can take this to market
Carrier billing means the subscriber never needs a card or a bank account. And the keyboard is built so the unlock model is a setting, not a rebuild — one track a day, ten at no cost, one a week, or everything behind the paywall.

Scope
Your whole network, sequenced by readiness
Not a single-market trial. Moodswing enters your portfolio as a property and goes to every operator you represent, in the order each market is ready to launch — with the catalogue localised for each territory.
Wave one
MTN South Africa, Vodacom
Home market for both of us. Shortest path to a live integration and the room where you have the most credit.
Wave two
Airtel, Safaricom
Proven mechanics carried into your wider footprint, with the first market’s numbers behind us.
Wave three
Remaining markets
Rolled out on the same commercial template, market by market, as billing and support are ready.
Local repertoire and local moods in every territory. Sequencing is about launch quality, not appetite.
Commercial terms
How we would structure it
Three principles. The numbers follow once we agree the shape.
Exclusivity carries a guarantee
Penrose pays Moodswing a minimum guarantee on signature, recoupable against our share of revenue. Exclusivity and a guarantee travel together.
Territories are named
Exclusivity is scoped to a defined list and a defined term. Outside that list we remain free to appoint others.
Launches are committed
An agreed number of operators live within an agreed period. If they are not, those territories revert to us.
Why this works for you
A category you don’t have, on networks you already own
A new vertical
Your catalogue is games, sport and trivia. Music and communication is a different shelf in the same store.
Better retention
Games churn. People message every day — the behaviour is already there, we’re adding to it.
Something to bring MTN
A Content Partner of the Year has to keep arriving with new categories, not more of the same.
A rights layer, at no build cost
The part you can’t build, supplied by a partner with no competing interest in your gaming business.
What we’re proposing
What we are putting on the table
01The appointment
Penrose represents Moodswing to the operators in your network, on a defined territory list, with launches sequenced by readiness.
02A commercial case
Your projections market by market, the guarantee you would attach, and the marketing you would put behind it. That document is what we both build from.
03A framework agreement
A Commercialisation and Distribution Framework Agreement — executed, not an MoU. Revenue split, territories, guarantee, launch commitments and reversion.
Over to you
You know these markets far better than we do, so we would rather build the shape with you than hand you one. And we move quickly — we would like this signed inside a few weeks. What is realistic on your side?
